Thank you for using Roz. These Terms of Service (“Terms”) are a legal agreement between you and Bearking LLC (“Bearking,” “we,” “our,” or “us”), a Wyoming limited liability company that operates the Roz / Roselyn product. By creating an account, installing the app, or using the Services, you agree to these Terms.
When we say “Services,” we mean the Roz macOS application, the roselyn.ai website, and the hosted backend that supports accounts, billing, and cloud features. When we say “you,” we mean the person or entity that owns an account or license.
We may update these Terms as the product evolves. When we make a significant change, we’ll refresh the date above and take reasonable steps to notify you. Continuing to use the Services after a change means you accept the updated Terms. These Terms include a limitation of our liability and an “as is” disclaimer — please read them.
1. Your account
- You must be a human and at least 18 years old (or the age of majority where you live). Accounts created by bots or automated methods are not allowed.
- You are responsible for keeping your account credentials secure and for all activity under your account. We recommend enabling two-factor authentication.
- You are responsible for your use of the Services and for the sources you connect to Roz. You represent that you have the right to let Roz read the data you permit it to read.
2. The software license (closed source)
Roz is proprietary, closed-source software. Subject to these Terms and your plan, Bearking grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Roz app for your own personal or internal business use.
You may not, except to the extent applicable law expressly permits:
- reverse engineer, decompile, disassemble, or attempt to derive the source code of the app;
- copy, redistribute, resell, rent, sublicense, or make the Services available to third parties;
- circumvent, disable, or tamper with license, entitlement, or security mechanisms; or
- remove or alter any proprietary notices.
Bearking and its licensors retain all right, title, and interest in and to the Services, including all intellectual property. You receive no ownership rights by using the Services. Your data is yours — this license is about our software, not your content.
3. Plans, payment, and the BYOK license
We offer several ways to use Roz:
- Free (on-device). Genuinely free — no card required.
- BYOK — “Own it” (annual license). A one-time payment for a specific annual version of Roz (for example, “Roz 2026”), used with your own AI provider key. You own and may keep using that version indefinitely, and you continue to receive security fixes and minor updates to it. Major new versions and their features require a new annual license. If you don’t renew, you keep your last licensed version; you simply don’t receive the new major version.
- Base and Pro (hosted subscriptions). Recurring monthly or annual subscriptions that include the AI compute we manage and always deliver the latest version. Paid in advance. If payment fails, hosted features pause until payment is made; see Section 6.
- Founder Lifetime. A limited, time-boxed offer for continued access to Pro; availability and terms are described at the point of sale.
All fees are stated in U.S. dollars and are exclusive of taxes; where required, we collect and remit applicable taxes. We may change prices; if we change the price of a plan you’re on, we’ll give you at least 30 days’ notice by email, and we generally aim to protect existing customers from increases.
Refunds are handled under our Refund Policy (refund-policy.md).
4. Acceptable use
You agree not to use the Services to break the law, infringe others’ rights, send spam, attempt to gain unauthorized access to systems, or interfere with the Services or other users. We may suspend or terminate accounts that do.
5. Cancellation
You can cancel at any time from your account settings — self-service, no dark patterns, at least as easy as signing up. When you cancel a hosted subscription, it stops at the end of your current paid term. Your local data on your Mac remains yours and accessible regardless of cancellation. You can export your local vault from the app at any time.
6. If you stop paying, cancel, or are terminated
A billing problem never locks you out of your own data. If a payment fails or you cancel, only server-backed features pause or stop. Your local vault, exports, uninstall, and the data on your Mac remain accessible. We may suspend or terminate accounts that violate these Terms; abuse of our staff results in immediate termination.
7. AI features — important disclaimer
Roz uses artificial intelligence to read, summarize, reason, and draft. AI can be wrong. Outputs are generated by AI models, may be inaccurate, incomplete, or out of date, and are provided for your assistance only. Roz does not provide professional advice — nothing it produces is legal, financial, medical, tax, or other professional advice, and you should not rely on it as a substitute for a qualified professional. You are responsible for reviewing and approving anything Roz drafts before you act on it or send it. Roz shows its sources (“receipts”) so you can check its work — please do.
8. Modifications to the Services
We may modify, add, or discontinue parts of the Services. For paid, server-backed features we’ll give reasonable notice of material changes. We reserve the right to modify or discontinue features with or without notice where necessary.
9. “As is,” and no warranty
Your use of the Services is at your sole risk. The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that AI outputs will be accurate.
10. Limitation of liability
To the maximum extent permitted by law, Bearking shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Services — even if we’ve been advised of the possibility of such damages. To the maximum extent permitted by law, Bearking’s total liability for any claim arising out of or relating to the Services is limited to the amount you paid us in the twelve (12) months before the event giving rise to the claim.
Choosing to use the Services means making a bet on us. We work hard to be a safe bet, but if it doesn’t work out, that’s on you, not us.
11. Governing law
These Terms are governed by the laws of the State of Wyoming (recommended: the State of Wyoming), without regard to conflict-of-laws rules. (Venue / arbitration terms to be set by counsel.)
